Freelance Web Development Services Agreement

1. Parties
This agreement (“Agreement”) is entered into by and between:
- Client: (Person or business paying for contracted services)
- Developer: Tony Mendoza
2. Scope of Work
The Developer agrees to provide web development services as outlined in the project proposal or work order. This includes but is not limited to:
- Designing and developing web pages
- Implementing functionality
- Implementing functionality
- Testing and debugging
- Delivering the final product
3. Payment Terms
- Payment Schedule: The Client agrees to pay the Developer according to the payment schedule outlined in the project proposal.
- Payment Method: Payments will be made via the agreed payment platform or method.
- Late Fees: Late payments may incur a 5% late fee.
- Expenses: Any additional expenses (e.g., domain registration, hosting fees) will be reimbursed by the Client.
4. Intellectual Property
- Ownership: Upon full payment, the Client owns all intellectual property rights to the developed website.
- License: The Developer grants the Client a non-exclusive, worldwide license to use the website for its intended purpose.

- Both parties agree to keep all project-related information confidential.

6. Project Timeline
- The Developer will provide regular updates on project progress.
- Delays due to unforeseen circumstances will be communicated promptly.
7. Termination
- Either party may terminate this Agreement with written notice.
- Termination does not relieve the Client of payment obligations for work completed.
8. Liability and Indemnification
- The Developer is not liable for any damages resulting from the use of the website.
- The Client agrees to indemnify the Developer against any claims arising from the website&spos;s content or functionality.
9. Governing Law
- This Agreement shall be governed by the laws of the State of California.
